Terms of Service

These Terms of Service ("Terms") govern your use of Aureo, a desktop application for music production setup management ("the Software"), operated by Existential Software Company, LLC ("we", "our", or "us"). By downloading, installing, or using the Software, you agree to be bound by these Terms.
1. Eligibility
By using the Software, you represent that you are at least 13 years of age. If you are under 18, you represent that you have your parent or guardian's permission to use the Software.
2. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for personal or commercial use on devices you own or control.
3. Restrictions
You agree not to:
- Copy, modify, or distribute the Software except as expressly permitted
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Use the Software for any unlawful purpose
- Sublicense, rent, lease, or lend the Software to third parties
4. Your Data
Aureo is a local-first application. Your project files, setups, and content ("Your Data") remain stored on your device. You retain all rights to Your Data. We do not access or store Your Data on our servers.
User Responsibility for Local Data: You are solely responsible for the integrity and backup of the local database used by the Software. We are not liable for any loss of data, corruption of files, or inability to access the Software resulting from your manual modification, deletion, or editing of local database files.
5. Catalog Data
Catalog Data (product names, specifications, and related information) is provided "as-is" for informational purposes only.
Third-Party Product Information: Product specifications and technical details are compiled from publicly available sources. We do not guarantee the accuracy of this information. You should verify specifications directly with manufacturers before relying on this information for professional purposes.
The Software's identification of third-party products is for organization and cataloging purposes only. Existential Software Company, LLC is not affiliated with, endorsed by, or partnered with the manufacturers of the plugins or hardware identified within the Software.
6. Intellectual Property
We retain all rights, title, and interest in the Software's code, design, and branding. Nothing in these Terms transfers any ownership rights to you.
7. Export Control
You may not use or export the Software except as authorized by United States law.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT (A) THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (B) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL {companyNameUpper}, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
THIS LIMITATION SPECIFICALLY INCLUDES, BUT IS NOT LIMITED TO, ANY LOSS OR CORRUPTION OF YOUR DATA, PROJECT FILES, OR LOCAL DATABASE FILES, REGARDLESS OF THE CAUSE—INCLUDING SOFTWARE BUGS, ERRORS, SYSTEM FAILURES, OR YOUR MANUAL MODIFICATION OF APPLICATION FILES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100 USD) OR THE AMOUNT YOU PAID US, IF ANY, IN THE SIX (6) MONTHS PRIOR TO THE CLAIM. THESE LIMITATIONS SHALL APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Dispute Resolution
ANY DISPUTE RELATING TO THESE TERMS WILL BE SETTLED BY BINDING ARBITRATION IN DELAWARE, USA, ON AN INDIVIDUAL BASIS.
11. Termination
We may terminate your license if you breach these Terms. Upon termination, you must cease all use of the Software and delete all copies.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA.
13. Changes to Terms
We may update these Terms from time to time. Your continued use of the Software after changes constitutes acceptance of the new Terms.
14. Beta Versions
If you use a version of the Software identified as "Beta," "Alpha," or "Pre-release," you acknowledge that it is for testing purposes, may contain bugs, and could cause data loss. Use of Beta Versions is strictly at your own risk. We strongly recommend backing up your local database and project files before using a Beta Version.
15. Feedback
If you provide us with any suggestions, bug reports, or feedback, you agree that we may use such feedback for any purpose without compensation or obligation to you.
